2. Services
DigitalsEarth provides digital marketing and web development services including but not limited to SEO, WordPress development, Shopify development, GoHighLevel setup, HubSpot configuration, mobile app development, content writing, graphic design, and related services. The specific scope of each project is defined in a separate project agreement or proposal accepted by both parties.
3. Project Agreements
Each project is governed by a specific proposal or statement of work agreed upon in writing (including email). The proposal outlines the scope, deliverables, timeline, and payment terms. Work begins only after written approval of the proposal and receipt of any required deposit.
4. Payment Terms
Payment terms are specified in each project proposal. Typical terms include a deposit (usually 50%) due before work begins, with the balance due upon project completion or at milestones specified in the proposal. All payments are in USD. Late payments may incur interest at 1.5% per month.
5. Intellectual Property
Upon receipt of full payment, the client receives full ownership of all custom work created specifically for their project, including source code, designs and content. DigitalsEarth retains the right to display completed work in our portfolio unless the client requests otherwise in writing. Third-party components (themes, plugins, stock images) remain subject to their respective licences.
6. Client Responsibilities
Clients are responsible for: providing timely feedback and approvals to keep projects on schedule; supplying all necessary content, assets and access credentials; ensuring they have rights to any materials provided to DigitalsEarth; maintaining backups of their website and data; renewing hosting, domain and software licences as required.
7. Limitation of Liability
DigitalsEarth's liability for any claim arising from our services is limited to the amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages including loss of revenue, lost data, or business interruption.
8. Website Use
You may use our website for lawful purposes only. You must not attempt to gain unauthorised access to any part of our website, use automated tools to scrape content, or engage in any activity that interferes with the normal operation of our website.
9. Governing Law
These Terms of Service are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved through binding arbitration in Sheridan, Wyoming, unless both parties agree otherwise.
